Currently, The Willis Towers Watson Mergers & Acquisitions Group has over 100 professionals in the U.S. and an additional 50 professionals throughout the world who are solely dedicated to handling the pre-closing diligence, placement and servicing of private equity firms and their portfolio companies. The M&A Group works on more than 1,000 new transactions annually around the world. Our approach includes:

Due Diligence

  • Identify and quantify current total cost of risk, coverage gaps, exposure to risks, etc.
  • Evaluate current accruals and collateral supporting open liabilities and relay findings that may impact Quality of Earnings analysis to the deal team
  • Review historical limits of liability and appropriateness of coverage to respond to risk

Strategy

  • Provide transaction solutions protecting against financial losses resulting from inaccuracies in the representations and warranties, protecting against tax uncertainty, successor liability, etc.
  • Recommend a post-close insurance program and provide budgets that adequately protect the investment and meets financial goals
  • Utilize analytics and benchmarking data to propose a risk management program to mitigate exposure to loss, thereby protecting the assets (financial, physical & human) and controlling costs
  • Suggest service model and risk management efficiencies ensuring the target company’s insurance program can accommodate growth via acquisition, etc.

Execution

  • Implement a risk management program that protects the investment in a portfolio company
  • Leverage and manage costs with the use of portfolio purchasing strategies
  • Ring-fence any unwanted/undesirable liabilities with insurance products and strategies
  • Consult with buyer on exit strategies to maximize investment returns
