A practical guide to navigating the SEC’s executive compensation disclosure rules

The latest edition of Donnelley Financial Solutions' (DFIN) Executive Compensation Disclosure Handbook is out now, featuring contributions from Willis Towers Watson and Gibson, Dunn & Crutcher LLP.

The guide is intended to provide practical tips and guidance in preparing disclosures on executive compensation. As proxy statements, and in particular, compensation discussions and analysis (CD&As), come under increasing scrutiny it is important to not only meet the baseline requirement of compliance, but to do so in a way that is clear, transparent and credible. This is particularly true in 2020, with COVID-19 meaning that many companies will likely be disclosing atypical actions, such as the application of discretion, changes to incentive metrics and temporary reductions in pay. Ensuring that investors and proxy advisors understand the rationale and find it compelling will be critical to securing favorable say on pay outcomes.
