General Terms of Business Agreement for our Reinsurance Clients

We attach the Willis Hong Kong Limited Terms of Business Agreement (TOBA), revised in April 2018, which sets out our professional relationship and the services we will provide to you.

Changes to this TOBA from our previous version are largely driven by changes to arrangements regarding the handling and usage of information, including the introduction of the General Data Protection Regulation (Regulation (EU) 2016/679) (or (“GDPR”).

There are three main changes in this edition:

  • Disclosure of Information’: section has been revised to include confirmation of client’s authority to provide us with the information clients give us for disclosure purposes.
  • Provision of Information and Intellectual Property’: section has been amended to clarify our respective rights in relation to intellectual property.
  • Data protection and Confidentiality’: amendments made to the wording of the data usage consents in respect of data provided by clients to Willis, notably in relation to the use of data for the range of reinsurance or informational products and services that we make available to our clients. References to Data Protection arrangements have been amended to incorporate new GDPR legislation.

This TOBA will apply immediately in respect of any new service provided by us on your behalf and in the case of existing business, will replace any previous TOBA ten days from the date this TOBA was first issued. When you provide your instruction to bind coverage or pay premium in respect of your insurance placement, you will be deemed to have accepted this TOBA.
